For Referring Affiliates
PLEASE READ THIS AGREEMENT CAREFULLY.
This Referral Affiliate Agreement (“Agreement”) is made between Streaming Ultra LLC, doing business as WatchSports.com (“the Company,” “we,” “us,” or “our”), and the undersigned person who participates in the Company’s Referral Affiliate Program (“Affiliate” or “You”). The Agreement applies to your participation in the Company’s Referral Affiliate Program, under which You refer new content creators to the Service and may earn a commission when those creators sell Paid Content. These terms are so important that we cannot permit You to participate in this program unless you agree to them.
This Agreement is valid as of the date You indicate your acceptance thereof by your acknowledgment of this Agreement and/or your enrollment in the Company’s Referral Affiliate Program and creation or use of any referral link or referral code (“Effective Date”).
This Agreement fully incorporates the Company’s Terms of Service as set forth at https://watchsports.com/terms-of-service and the Company’s Privacy Policy as set forth at https://watchsports.com/privacy-policy and the Company’s Community Guidelines. In the event of any conflict between this Agreement and the Company’s Terms of Service and/or Privacy Policy and/or Community Guidelines, this Agreement shall govern with respect to the subject matter of the Referral Affiliate Program.
Streaming Ultra LLC owns and operates the website WatchSports.com, and may in the future include apps (Connected TV, mobile, or other apps) for its current website. WatchSports.com may also develop future products, software, data feeds, and services related to the WatchSports.com website (collectively the “Service”).
The purpose of this Agreement is to facilitate and reward your efforts to refer new content creators to the Service. When a content creator You refer joins the Service, creates a channel, and earns revenue from Paid Content, the Company will pay You a referral commission out of the Company’s own platform fees, as described below. You earn a commission only when a creator You have referred actually sells Paid Content and the Company collects its platform fee on that sale.
Definitions
“Referred Creator Organization” means a content creator (whether an individual or an entity) who registers a new account on the Service using your unique referral link or referral code, who was not already a registered user of the Service at the time of referral, and whose referral is attributed to You in accordance with this Agreement. The channel created and operated by a Referred Creator Organization on the Service is referred to as the “Referred Channel.”
“Paid Content” means any content offered for sale by a Referred Creator Organization on the Service, including but not limited to monthly or yearly subscriptions, one-time purchases (sales), rentals, pay-per-view access to videos, playlists, channels, or other recordings hosted on the Service, and, upon the Company’s prior approval, the livestreaming of a game or sporting event offered as a pay-per-view event.
“Platform Fee” means the twenty percent (20%) fee that the Company retains from the gross revenue of Paid Content sold on the Service, calculated after deduction of applicable credit card and payment processing fees for the transaction, as further described in the Terms of Service.
“Referral Commission” means the commission payable to You under this Agreement, equal to ten percent (10%) of the Company’s Platform Fee actually collected on qualifying Paid Content sales by a Referred Creator Organization during the Commission Period, as described in Section 4.
“Commission Period” means the period beginning on the date the Referred Creator Organization creates its account on the Service using your referral link or referral code and ending twelve (12) months thereafter.
1. How the Referral Affiliate Program Works
The Referral Affiliate Program allows You to earn a commission by referring new content creators to the Service. A registered user of WatchSports.com who enrolls in the Referral Affiliate Program is an Affiliate. Upon enrollment, You will be provided with a unique referral link and/or referral code. You use that link or code to invite content creators to join the Service. When a content creator registers a new account using your unique referral link or code, that creator becomes a Referred Creator Organization attributed to You, subject to the attribution rules in Section 2. Thereafter, when that Referred Creator Organization sells Paid Content on the Service and the Company collects its Platform Fee on that sale during the Commission Period, You will earn a Referral Commission equal to ten percent (10%) of the Platform Fee the Company actually collects on that sale. The Referral Commission is paid by the Company out of the Company’s own Platform Fee and is not deducted from the Referred Creator Organization’s share of revenue. Specific terms of the Referral Affiliate Program are set out below.
2. General Terms of this Agreement and the Referral Affiliate Program
A. A user of WatchSports.com can become an Affiliate by enrolling in the Referral Affiliate Program and agreeing to this Agreement. To enroll and to receive any payment, You must be a registered user of the Service and must be at least eighteen (18) years of age. The Company does not permit minors to participate in the Referral Affiliate Program or to receive Referral Commissions.
B. Upon enrollment, the Company will issue You one or more unique referral links and/or referral codes. You are responsible for using only the unique referral link or code issued to You. Referrals are tracked through these unique links and codes.
C. A content creator is attributed to You as a Referred Creator Organization only if the creator (i) was not already a registered user of the Service, (ii) registers a new account using your unique referral link or code, and (iii) completes that registration within ninety (90) days after first using (clicking or entering) your referral link or code. If more than one Affiliate could be credited for the same content creator, the Affiliate whose referral link or code was used to complete the creator’s account registration first in time shall receive the attribution, and that determination by the Company shall be final.
D. You may not refer yourself, any account You own or control, or any channel You own or control, and You may not earn a Referral Commission on Paid Content that You, directly or indirectly, purchase. Referrals generated through spam, deceptive or misleading statements, unauthorized advertising, cookie stuffing, forced clicks, fraudulent or automated sign-ups, or any other prohibited or deceptive practice are invalid and will not be credited, and may result in termination under Section 5.
E. Your referral relationship is non-exclusive. The Company may operate other referral, affiliate, or marketing programs, and may engage other Affiliates, at any time. You are not guaranteed any minimum number of referrals, any minimum revenue, or any minimum commission.
F. You may engage in referral and promotional efforts where You see fit on other platforms, sites, apps, or forums as permitted by and in accordance with the terms of service and requirements of such platform, site, app, or forum. All referral and promotional efforts must also comply with all federal, state, or local laws or regulations, including, but not limited to, Federal Trade Commission requirements as to affiliate and endorsement marketing.
3. Affiliates’ Referral and Promotional Efforts
A. To receive credit for and be eligible for a Referral Commission, a content creator must register a new account using your unique referral link or referral code in accordance with Section 2. Accordingly, You should use the unique referral link or code provided to You in your referral and promotional efforts.
B. You may discontinue your referral and promotional efforts at any time. By enrolling in the Referral Affiliate Program, You have no obligation to engage in any referral or promotional efforts at all, and the Company has no obligation to provide You with referrals, leads, or marketing materials.
C. You may engage in referral and promotional efforts where You see fit on your other platforms, sites, apps, or forums as permitted by and in accordance with the terms of service and requirements of such platform, site, app, or forum. All referral and promotional efforts must also comply with all federal, state, or local laws or regulations, including, but not limited to, Federal Trade Commission requirements as to affiliate and endorsement marketing and all copyright and trademark laws. You may not use any trademarks or copyrighted material in your referral or promotional efforts or materials without prior written permission from the trademark or copyright owner.
D. All of your referral and promotional efforts must disclose your affiliate relationship with the Company by containing the following statement or one substantially similar in a conspicuous place: “I am a referral affiliate of WatchSports.com and may earn a commission from creators who join through my link.” Other than this disclosure, You shall not make any other public communication regarding this Agreement or your participation in the Referral Affiliate Program without the Company’s written permission. You shall not misrepresent or embellish your relationship with the Company.
E. If your referral or promotional efforts include paid ads or promoted social media posts, You are solely responsible for any associated costs or expenses. No costs or expenses will be reimbursed by the Company. The only payment for which You are eligible is the Referral Commission pursuant to this Agreement. Any paid ads or promotions used by You may not contain or use the following keywords or adwords for bidding: watchsports.com, WatchSports, or Streaming Ultra.
F. You shall not make any representation, warranty, or guarantee to any prospective Referred Creator Organization regarding earnings, revenue, audience, or results on the Service, and You shall not make any statement on the Company’s behalf. You have no authority to bind the Company or to accept users, content, or channels on the Company’s behalf, and all content creators remain subject to the Company’s approval and to the Terms of Service, Privacy Policy, and Community Guidelines.
4. Payment Terms
A. Commission rate. The Referral Commission is equal to ten percent (10%) of the Company’s Platform Fee actually collected on qualifying Paid Content sales made by a Referred Creator Organization during the Commission Period. Because the Company’s Platform Fee is twenty percent (20%) of the gross revenue of Paid Content (after deduction of applicable payment processing fees), the Referral Commission is equal to approximately two percent (2%) of such gross revenue. The Referral Commission is paid by the Company out of the Company’s own Platform Fee and is not deducted from the Referred Creator Organization’s share of revenue.
B. Commission Period. You may earn Referral Commissions only on qualifying Paid Content sales that occur during the Commission Period — that is, during the twelve (12) months beginning on the date the Referred Creator Organization creates its account on the Service using your referral link or code. No Referral Commission accrues on any sale occurring after the Commission Period ends, regardless of when payment is processed.
C. When a commission is earned. A Referral Commission is considered earned only when (i) a Referred Creator Organization completes a qualifying sale of Paid Content during the Commission Period, (ii) the Company actually collects its Platform Fee on that sale, and (iii) any applicable refund, return, or cancellation period for that sale has expired without reversal. For subscription-based Paid Content, the Referral Commission accrues with respect to each subscription payment the Company actually collects during the Commission Period; no commission accrues on subscription payments collected after the Commission Period ends.
D. Refunds, chargebacks, and reversals. If any sale on which a Referral Commission was calculated is later refunded, reversed, charged back, or otherwise not collected by the Company, the corresponding Referral Commission is forfeited. Any Referral Commission already paid to You with respect to such a sale may be deducted from your future Referral Commission payments or otherwise recovered by the Company.
E. Minimum payout threshold. Referral Commissions are paid only once your accrued, earned, and unpaid balance reaches a minimum of twenty-five U.S. dollars ($25.00). If your balance is below the threshold at the end of a payout cycle, the balance will roll forward and accumulate until the threshold is met. The Company may change the minimum payout threshold prospectively upon notice as provided in Section 8.
F. Payment timing and method. Earned Referral Commissions that have met the minimum payout threshold will be paid on a monthly basis, beginning no earlier than forty-five (45) days after the first qualifying purchase attributed to a Referred Creator Organization. All Referral Commission payments will be made by the Company through the financial information and accounts You provide to Stripe, Inc. when signing up for or maintaining your user account. To receive payment, You agree to provide the Company any and all documentation necessary for it to comply with any and all jurisdictions’ legal and tax reporting requirements, including, without limitation, IRS Form W-9 or W-8 and any information required for the issuance of IRS Form 1099 or equivalent reporting. The Company may withhold payment until such required documentation is provided.
G. Taxes. You are solely responsible for determining and satisfying your own tax obligations arising from any Referral Commission. The Company does not provide tax advice. Referral Commissions are paid to You as an independent contractor, and no taxes will be withheld by the Company except as required by law.
5. Termination
A. The Company may terminate, suspend, or modify the Referral Affiliate Program, in whole or in part, at any time and in its sole discretion.
B. You may terminate your participation in the Referral Affiliate Program at any time.
C. Upon termination of your participation by either party without cause, You may still be entitled to any Referral Commission earned but unpaid as of the effective date of termination, subject to the minimum payout threshold, the refund and chargeback provisions of Section 4, and the other terms of this Agreement. No Referral Commission accrues on sales occurring after the effective date of termination or after the end of the applicable Commission Period, whichever occurs first.
D. The Company may terminate your participation in the Referral Affiliate Program at any time, and may withhold or forfeit any earned or unearned Referral Commission, for your violation of or failure to abide by the terms of this Agreement or any other terms or conditions of the Referral Affiliate Program, the Terms of Service, Privacy Policy, Community Guidelines, or any federal, state, or local law or regulation, including, but not limited to, FTC regulations and requirements related to promoted or affiliate marketing, or the terms of service of any other site, forum, app, or platform where You engage in referral or promotional activities. In the case of such termination, your right to any Referral Commission, earned or unearned, shall terminate upon the date of termination.
6. Independent Contractor Status
This Agreement is not an offer of employment, nor is the Affiliate an employee of the Company. The Affiliate is an Independent Contractor. The relationship with the Company does not constitute a partnership, joint venture, or agency. The Affiliate is not entitled to any reimbursement of expenses for their efforts, nor does the Affiliate represent the Company. Neither party shall have the authority to make any statements, representations, or commitments of any kind, or to take any action that shall be binding on the other party without the prior consent of the other party.
7. Non-Exclusivity
This Agreement does not create an exclusive agreement between You and the Company. Both You and the Company will have the right to recommend similar products and services of third parties and to work with other parties in connection with the design, sale, installation, implementation, promotion, and use of similar services and products of third parties.
8. Amendment
The Company may amend, update, or change any part of this Agreement and/or the Referral Affiliate Program at any time and in its sole discretion, and You agree to be bound by such modification, revision, update, change, or replacement. If You do not agree to any modification, revision, update, change, or replacement, You may choose to terminate your participation as described herein. Your continued participation in the Referral Affiliate Program after any such change becomes effective constitutes your acceptance of the change.
9. Limitation of Liability
IN NO EVENT SHALL WATCHSPORTS.COM AND ITS PARENT COMPANY STREAMING ULTRA, LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES (“WATCHSPORTS.COM PARTIES”), BE LIABLE TO YOU OR YOUR AGENTS, REPRESENTATIVES, AFFILIATES, SUCCESSORS, HEIRS, OR ASSIGNS (“AFFILIATE PARTIES”) FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM ATTEMPTS TO ENGAGE WITH OR ACTUAL ENGAGEMENT WITH OTHERS REGARDING THE COMPANY’S SERVICE, (II) UNAUTHORIZED ACCESS TO OR USE OF THE COMPANY’S SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREON, (III) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS. ADDITIONALLY, AFFILIATE PARTIES AGREE THAT WATCHSPORTS.COM PARTIES SHALL NOT BE LIABLE TO AFFILIATE PARTIES FOR ANY DAMAGE OF ANY KIND INCURRED AS A RESULT OF AFFILIATE PARTY’S USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE WATCHSPORTS.COM PARTIES ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
AFFILIATE PARTIES SPECIFICALLY ACKNOWLEDGE THAT WATCHSPORTS.COM SHALL NOT BE LIABLE FOR CONTENT POSTED BY THIRD PARTIES OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH THE AFFILIATE PARTY.
10. Indemnity
To the extent permitted by applicable law, You agree to defend, indemnify, and hold harmless WatchSports.com, its parent corporation Streaming Ultra LLC, and their officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from (i) your referral or promotional efforts, (ii) your violation of any term of this Agreement, or (iii) your violation of any federal, state, or local law or regulation. This defense and indemnification obligation will survive this Agreement.
11. Assignment
This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by You but may be assigned by WatchSports.com without restriction.
12. Jurisdiction, Governing Law, and Statute of Limitations
A. You agree that: (i) the Agreement has been negotiated and Services have been performed solely in the State of Utah in the United States of America; and (ii) the Service offered is a passive website that does not give rise to personal jurisdiction over WatchSports.com, either specific or general, in jurisdictions other than in the State of Utah. This Agreement, and the Company’s Terms, shall be governed by the internal substantive laws of the State of Utah, without respect to its conflict of laws principles. Any claim or dispute between You and WatchSports.com that arises in whole or in part from the Agreement, its Service, Terms, or Privacy Policy shall be decided exclusively by a court of competent jurisdiction located in Salt Lake County, Utah.
B. This Agreement, the Terms of Service, together with the Privacy Policy and any other legal notices published by WatchSports.com on the Service, shall constitute the entire agreement between You and WatchSports.com with respect to the Referral Affiliate Program. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and WatchSports.com’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
C. Nothing in this Agreement, express or implied, is intended to or shall confer upon any person or entity (other than the parties hereto) any right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement.
D. YOU AND WATCHSPORTS.COM AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.**
Acknowledgment and Acceptance
By enrolling in the Referral Affiliate Program, creating or using a referral link or referral code, or indicating your acceptance electronically, You acknowledge that You have read, understood, and agree to be bound by this Agreement.
